Terms and conditions for using the assureOS platform
1. INTRODUCTION AND ACCEPTANCE
1.1 About These Terms
These Terms of Service ("Terms") govern your access to and use of the AssureOS platform, including our websites, web applications, mobile applications, APIs, and related services (collectively, the "Platform"). The Platform is provided by Arqen Group LTD ("AssureOS", "we", "us", or "our"), a company registered in England and Wales.
These Terms apply to all users of the Platform, including:
- Customers and Tenants: Organisations that have entered into a Platform Agreement or subscription with AssureOS;
- Administrators and Managers: Individuals authorised by Customers to configure, manage, and administer the Platform;
- End Users: Individuals granted access to the Platform by a Customer, including employees, contractors, and other personnel;
- Prospective Customers: Individuals and organisations evaluating the Platform, including those accessing demonstrations, trials, or marketing materials;
- Website Visitors: Individuals browsing our public websites.
1.2 Acceptance of Terms
BY ACCESSING OR USING THE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS. If you do not agree to these Terms, you must not access or use the Platform. If you are accessing the Platform on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.
1.3 Relationship with Platform Agreement
If your organisation has entered into a separate Platform Agreement, Master Services Agreement, or other written contract with AssureOS (a "Customer Agreement"), that Customer Agreement governs your organisation's subscription and takes precedence over these Terms to the extent of any conflict. These Terms supplement the Customer Agreement and govern individual user conduct on the Platform.
1.4 Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Effective Date" above. For significant changes, we may also provide additional notice (such as email notification or in-Platform alerts). Your continued use of the Platform after changes become effective constitutes acceptance of the updated Terms.
2. ABOUT THE PLATFORM
2.1 Platform Description
AssureOS is a cloud-based compliance and operational management platform designed for emergency services, healthcare providers, care organisations, and related sectors. The Platform provides tools and functionality that may include:
- Workforce compliance tracking and management
- Professional registration verification (HCPC, GMC, NMC, SIA, and others)
- Training and competency management
- Document and credential management
- DBS check processing and management
- Driving licence and vehicle verification
- Digital identity verification
- Scheduling and rostering
- Clinical records and care documentation
- Reporting and analytics
- API integrations and data exchange
2.2 Platform as a Tool
IMPORTANT: The Platform is a tool to assist with compliance and operational management. It is not a substitute for professional judgment, due diligence, or independent verification. The Platform does not guarantee compliance with any law, regulation, or standard. Users remain solely responsible for their own compliance obligations, operational decisions, and professional conduct.
2.3 Healthcare and Care Settings
If you use the Platform in connection with healthcare, care, or emergency services:
- Clinical Decisions: All clinical and care decisions must be made by appropriately qualified professionals. The Platform does not provide clinical advice, diagnosis, or treatment recommendations.
- Regulatory Compliance: You are responsible for compliance with all applicable regulations, including CQC requirements, NHS standards, and professional codes of conduct.
- Professional Obligations: Use of the Platform does not modify or reduce your professional responsibilities or duties of care.
2.4 Third-Party Services
The Platform integrates with and provides access to services provided by third parties, including government agencies, regulatory bodies, and commercial service providers. These include DVLA, DVSA, DBS, HCPC, GMC, NMC, SIA, and others. Third-party data is provided "as received" and we do not guarantee its accuracy, completeness, or timeliness.
3. USER ACCOUNTS AND ACCESS
3.1 Account Creation
Access to the Platform requires a user account. Accounts may be created by:
- Customer administrators who invite and provision users
- Self-registration where enabled by a Customer
- AssureOS for trial or demonstration purposes
You must provide accurate and complete information when creating an account and keep this information up to date.
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorised access or security breach
- Using strong, unique passwords and enabling multi-factor authentication where available
Do not share your login credentials with anyone. Each user must have their own individual account.
3.3 Account Types and Permissions
The Platform supports different user roles with varying permissions, including:
- Super Administrators: Full access to all Customer settings, data, and user management
- Administrators: Access to manage specific areas, users, or functions
- Managers: Access to manage teams, approve actions, and view reports
- Standard Users: Access to personal records, assigned tasks, and permitted functions
- Limited/View-Only Users: Restricted access for specific purposes
Your access level is determined by your Customer's administrator. Contact your administrator with questions about your permissions.
3.4 Account Suspension and Termination
We may suspend or terminate your account if:

You breach these Terms

Your Customer's subscription ends or is suspended

Your Customer or administrator removes your access

Required by law or regulatory authority

We reasonably believe your account poses a security risk
Your Customer may also suspend or terminate your access at any time in accordance with their internal policies.
4. ACCEPTABLE USE
4.1 Permitted Use
You may use the Platform only for:

Lawful purposes in accordance with these Terms

The business purposes of your organisation (if accessing through a Customer)
-
Evaluation purposes (if accessing a trial or demonstration)
-
Purposes consistent with the Platform's intended functionality
4.2 Prohibited Conduct
You must not:-
Use the Platform for any unlawful purpose or in violation of any applicable law or regulation

Access or attempt to access accounts, data, or systems you are not authorised to access

Share your login credentials or allow others to use your account

Upload, transmit, or store any content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable

Upload or transmit viruses, malware, or other malicious code
-
Interfere with or disrupt the Platform, servers, or networks
-
Attempt to probe, scan, or test the vulnerability of the Platform or circumvent security measures
-
Use automated tools (bots, scrapers, crawlers) to access the Platform without our written permission
-
Reverse engineer, decompile, or disassemble any part of the Platform
-
Copy, modify, or create derivative works based on the Platform
-
Remove, alter, or obscure any proprietary notices or labels
-
Use the Platform to build a competitive product or service
-
Resell, sublicense, or provide access to the Platform to third parties
-
Use the Platform in any way that could damage our reputation or goodwill
-
Impersonate any person or entity or misrepresent your affiliation

Collect or harvest personal data about other users without consent

Use the Platform for unsolicited communications or spam
4.3 Data Integrity
You are responsible for the accuracy and integrity of data you enter into the Platform. Do not enter false, misleading, or fraudulent information. Falsification of compliance records, credentials, or other data may constitute a criminal offence and will result in immediate termination of access.
4.4 Professional Conduct
If you are a regulated professional (such as a registered healthcare professional, security operative, or driver), your use of the Platform does not replace or modify your professional obligations. You must continue to comply with your professional codes of conduct, registration requirements, and legal duties.
4.5 Consequences of Breach
Breach of these acceptable use provisions may result in:

Immediate suspension or termination of your access

Notification to your employer or Customer

Notification to relevant regulatory or law enforcement authorities
-
Legal action to recover damages or obtain injunctive relief
5. INTELLECTUAL PROPERTY
5.1 Our Intellectual Property
The Platform and all related materials, including software, code, designs, graphics, logos, text, data compilations, and documentation, are owned by AssureOS or our licensors and are protected by copyright, trademark, and other intellectual property laws.
"AssureOS" and our logos are trademarks of AssureOS Limited. You may not use our trademarks without our prior written permission.
5.2 Limited Licence
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purposes. This licence does not include any right to:

Modify, copy, or distribute the Platform or its content

Use the Platform for commercial purposes beyond your organisation's internal business

Remove or alter any proprietary notices

Create derivative works
5.3 Your Content
You retain ownership of content and data you upload to the Platform ("Your Content"). By uploading Your Content, you grant us a licence to use, store, process, and display it solely to provide the Platform and related services.
5.4 Feedback
If you provide us with feedback, suggestions, or ideas about the Platform, you grant us a perpetual, irrevocable, royalty-free licence to use such feedback for any purpose without obligation to you.
6. DISCLAIMERS AND LIMITATIONS OF LIABILITY
6.1 Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the maximum extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that:-
The Platform will meet your requirements or expectations

The Platform will be uninterrupted, timely, secure, or error-free

Results obtained through the Platform will be accurate or reliable

Any errors will be corrected

The Platform is free of viruses or harmful components
6.2 No Guarantee of Compliance
WE DO NOT GUARANTEE THAT USE OF THE PLATFORM WILL ENSURE YOUR COMPLIANCE WITH ANY LAW, REGULATION, OR STANDARD. Compliance is your responsibility. The Platform is a tool to assist with compliance management, not a guarantee of compliance outcomes.
6.3 Third-Party Services Disclaimer
We are not responsible for the availability, accuracy, or reliability of third-party services integrated with the Platform, including data from regulatory bodies, government agencies, and commercial providers. Third-party data may be delayed, incomplete, or inaccurate.
6.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:-
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or goodwill;

We shall not be liable for any damages arising from your reliance on Platform data without independent verification;

We shall not be liable for any regulatory fines, penalties, or enforcement actions against you;

We shall not be liable for clinical, operational, or care decisions made using Platform information;
-
Our total liability to individual users for any claim arising from these Terms shall not exceed £100.
These limitations apply regardless of the legal theory (contract, tort, negligence, or otherwise) and even if we have been advised of the possibility of such damages.
6.5 Consumer Rights
If you are a consumer (an individual acting outside your trade, business, or profession), some jurisdictions do not allow exclusion of certain warranties or limitations of liability. In such cases, our liability will be limited to the maximum extent permitted by applicable law. Nothing in these Terms affects your statutory rights as a consumer.
6.6 Exceptions
Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded by law.
7. PRIVACY AND DATA PROTECTION
7.1 Privacy Notice
Our collection and use of personal data is governed by our Privacy Notice, which forms part of these Terms. Please read our Privacy Notice carefully to understand how we collect, use, and protect your personal data.
7.2 Customer Data
If you access the Platform through a Customer, your Customer is the data controller for most personal data processed through the Platform. Our processing of such data is governed by our agreement with your Customer. Contact your Customer with questions about how they handle your data.
7.3 Data Security
We implement appropriate technical and organisational measures to protect data processed through the Platform. However, no system is completely secure. You are responsible for maintaining the security of your account credentials and devices.
7.4 Data Retention
Data retention periods are determined by your Customer's settings and applicable legal requirements. When your access ends, your data will be handled in accordance with your Customer's data retention policies and applicable law.
8. AVAILABILITY AND SUPPORT
8.1 Availability
We strive to maintain high availability of the Platform but do not guarantee uninterrupted access. The Platform may be unavailable due to:

Scheduled maintenance (typically notified in advance)

Emergency maintenance or security updates
-
Factors beyond our control (internet outages, third-party service failures, etc.)

Force majeure events
8.2 Support
Support is provided to Customers in accordance with their Customer Agreement. Individual users should contact their organisation's administrator or designated support contact in the first instance. For urgent security issues, contact security@assureos.com.
8.3 Updates and Changes
We may modify, update, or discontinue features of the Platform at any time. We will endeavour to provide notice of significant changes, but some updates (particularly security updates) may be deployed without notice.
9. TERMINATION
9.1 By You
If you are a direct user (not accessing through a Customer), you may terminate your account at any time by contacting us. If you access through a Customer, your access is controlled by your Customer.
9.2 By Us
We may terminate or suspend your access at any time, with or without cause, with or without notice. Grounds for termination include breach of these Terms, your Customer's request, end of your Customer's subscription, or our decision to discontinue the Platform.
9.3 Effect of Termination
Upon termination: (a) your right to access the Platform ceases immediately; (b) we may delete your account and associated data (subject to applicable law and any Customer Agreement); and (c) provisions that by their nature should survive will continue in effect (including disclaimers, limitations of liability, and indemnification).
10. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless AssureOS, our affiliates, and our respective directors, officers, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:-
Your breach of these Terms

Your violation of any law or regulation

Your violation of any third-party rights
-
Content you upload or transmit through the Platform

Your use of the Platform
-
Any claim by your employer, Customer, or third party related to your access
11. GENERAL PROVISIONS
11.1 Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
11.2 Entire Agreement
These Terms, together with our Privacy Notice and any applicable Customer Agreement, constitute the entire agreement between you and AssureOS regarding the Platform.
11.3 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect.
11.4 Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
11.5 Assignment
You may not assign or transfer your rights under these Terms. We may assign our rights and obligations without restriction.
11.6 No Agency
Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and AssureOS.
